1. Marketplace Role Disclaimer

QuickKey is a marketplace platform that connects customers seeking locksmith services with independent, licensed locksmith professionals. QuickKey does not itself provide, perform, or guarantee any locksmithing services. All locksmith services arranged through the QuickKey platform are performed by independent third-party locksmith professionals who are solely responsible for the quality, timeliness, legality, and outcome of their work.

QuickKey acts solely as an intermediary facilitating the connection between customers and locksmiths. The relationship between a customer and a locksmith is a direct contractual relationship between those parties. QuickKey is not a party to any agreement between a customer and a locksmith, nor does QuickKey act as an agent, employer, or representative of any locksmith listed on the platform.

2. Emergency Disclaimer

QuickKey is NOT an emergency service. QuickKey is NOT a substitute for calling 911 or any emergency services. If you are in immediate physical danger, are experiencing a medical emergency, or believe a crime is in progress, call 911 or your local emergency number immediately. Do not rely on QuickKey for emergency assistance. QuickKey does not guarantee response times and should never be used as a replacement for emergency services.

3. Acceptance of Terms

By creating an account, accessing, or using QuickKey, you agree to be bound by these Terms of Service, our Privacy Policy, and any additional guidelines or rules posted on the platform. If you do not agree to these terms, you must not use QuickKey. We reserve the right to modify these terms at any time, and your continued use of the platform after such modifications constitutes acceptance of the updated terms. We will notify registered users of material changes via email or in-app notification.

4. Eligibility

You must be at least 18 years of age to create an account and use QuickKey. By using the platform, you represent and warrant that you are at least 18 years old, have the legal capacity to enter into these terms, and are not barred from using the platform under any applicable law.

5. User Accounts and Obligations

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You must provide accurate, current, and complete information during registration and keep your account information updated. You agree not to create more than one account, share your account credentials with others, or use another person's account.

All users must provide truthful and accurate information when using the platform, including but not limited to: personal identity details, contact information, service addresses, vehicle information, and job descriptions. Providing false, misleading, or fraudulent information is a violation of these terms and may result in immediate account suspension or termination.

Locksmith users must additionally provide truthful and accurate business information, including business name, licensing details, insurance documentation, and service area information. Misrepresentation of qualifications, licensing status, or insurance coverage is strictly prohibited.

6. No Guarantee of Quality or Outcome

QuickKey does not guarantee, endorse, or warrant the quality, safety, reliability, timeliness, or legality of any locksmith services arranged through the platform. QuickKey does not verify the competence, skill level, or workmanship of locksmiths beyond the document review process described below. Customers use locksmiths found through QuickKey at their own risk.

While QuickKey requires locksmiths to submit licensing and insurance documentation for review before activation, this review is an administrative check and does not constitute a certification, endorsement, or guarantee of any locksmith's qualifications, competence, or the quality of their services. QuickKey makes no representations regarding the validity, currency, or sufficiency of any documents submitted by locksmiths.

7. Prohibited Uses

You agree not to use QuickKey for any unlawful purpose or in any manner that could damage, disable, or impair the platform. Prohibited activities include but are not limited to:

  • Submitting false, fraudulent, or misleading job requests
  • Impersonating another person, business, or entity
  • Harassing, threatening, or abusing other users
  • Using the platform to facilitate illegal activity
  • Attempting to circumvent the platform to arrange services directly in order to avoid platform terms
  • Scraping, crawling, or otherwise extracting data from the platform without authorization
  • Uploading malicious files, viruses, or harmful content
  • Interfering with the platform's infrastructure or security features
  • Creating multiple accounts to evade restrictions or abuse promotions
  • Using the messaging system for spam, solicitation, or purposes unrelated to active jobs
  • Manipulating reviews, ratings, or ranking signals
  • Sharing or distributing other users' personal information without consent

8. Document Submission Rules

Locksmith users are required to submit licensing, insurance, and other business documents as part of the onboarding process. By submitting documents, you represent and warrant that:

  • All submitted documents are authentic, unaltered, and currently valid
  • You have the right to submit the documents and share them with QuickKey for review purposes
  • The documents accurately reflect your current licensing and insurance status
  • You will promptly update documents if they expire, are revoked, or change in any material way

Customer users may upload up to three (3) photos or documents per job request to help describe the locksmith service needed. By uploading files, you represent that you have the right to share those files and that they do not contain illegal, harmful, or inappropriate content. QuickKey reserves the right to remove any uploaded content that violates these terms.

All uploaded documents and files are subject to review and may be rejected if they do not meet platform standards. QuickKey stores uploaded files securely and limits access to authorized personnel and relevant parties as described in our Privacy Policy.

9. Phone Verification

Customers are required to verify their phone number via a one-time passcode (OTP) sent by SMS before submitting a job request. This verification is required each time a job is submitted to help prevent fraud and abuse. Standard messaging rates from your mobile carrier may apply. By providing your phone number, you consent to receiving SMS messages from QuickKey for verification purposes.

10. Locksmith Onboarding and Approval

Locksmith accounts are not automatically activated upon registration. After completing the onboarding process and submitting required documents, locksmith accounts are placed in a "pending review" status. QuickKey administrators will review submitted documents and may approve, reject, or request additional information. Only approved locksmiths are visible in search results and eligible to receive job offers.

QuickKey reserves the right to approve or reject any locksmith application at its sole discretion. Rejection of an application does not entitle the applicant to any compensation or explanation beyond a general notification of the decision.

11. Locksmith Membership Subscriptions

QuickKey offers optional paid membership tiers for locksmith users:

  • Free — Basic profile listing, ability to receive matched jobs, limited service area coverage
  • Starter ($4.99/month) — Expanded service area, higher ranking weight in search results, priority badge, and enhanced analytics
  • Pro ($9.99/month) — Maximum service area coverage, highest ranking weight, premium badge, advanced analytics and lead insights

All paid memberships are billed monthly through Stripe. Subscription payments are processed on a recurring monthly basis starting from the date of initial subscription. Prices are quoted in United States Dollars (USD) and do not include applicable taxes, which will be added where required by law.

QuickKey reserves the right to modify membership pricing or benefits with at least thirty (30) days' prior notice to affected subscribers. Continued use of a paid membership after a price change takes effect constitutes acceptance of the new pricing.

12. Refund and Cancellation Policy

You may cancel your locksmith membership subscription at any time through the Stripe customer portal or by contacting support at team@quickkeymobile.com. Cancellation will take effect at the end of your current billing period. You will continue to have access to paid membership features until the end of the period for which you have already paid.

Membership fees are generally non-refundable. However, QuickKey may issue refunds or credits at its sole discretion in cases of billing errors, service disruptions caused by QuickKey, or other circumstances QuickKey deems appropriate. Refund requests should be directed to team@quickkeymobile.com within thirty (30) days of the charge in question.

If QuickKey suspends or terminates your account for violation of these terms, you will not be entitled to a refund of any membership fees already paid.

13. Payments Between Customers and Locksmiths

QuickKey does not process, facilitate, or intermediate payments between customers and locksmiths for locksmith services. Payment for locksmith services is arranged directly between the customer and the locksmith. QuickKey has no responsibility for, and makes no guarantees regarding, pricing, payment terms, or payment disputes between customers and locksmiths.

14. Messaging

QuickKey provides a per-job messaging system that allows customers and accepted locksmiths to communicate regarding an active job. Messaging is only available after a locksmith has accepted a job offer. All messages sent through the platform may be reviewed by QuickKey for safety, moderation, and compliance purposes. Users must not use the messaging system to share inappropriate content, harass other users, or engage in activity unrelated to the job at hand.

15. Account Suspension and Termination

QuickKey reserves the right to suspend, restrict, or permanently terminate any user account at any time and at its sole discretion, with or without notice, for any reason, including but not limited to:

  • Violation of these Terms of Service
  • Fraudulent, abusive, or illegal activity
  • Providing false or misleading information
  • Harassment or threatening behavior toward other users
  • Submission of fraudulent or forged documents
  • Failure to maintain valid licensing or insurance (for locksmith users)
  • Repeated negative feedback or complaints from other users
  • Inactivity for an extended period
  • Any conduct that QuickKey determines is harmful to the platform, its users, or its reputation

Upon termination, your right to access and use QuickKey ceases immediately. QuickKey may retain your data as described in our Privacy Policy and as required by applicable law.

You may delete your account at any time using the "Delete Account" feature in the app's Profile settings. Account deletion requires email confirmation to prevent accidental or unauthorized deletion. Upon deletion:

  • Your account will be immediately deactivated and you will be signed out
  • Your personal information will be anonymized within thirty (30) days
  • Job records, messages, and related operational data are retained for dispute resolution, fraud prevention, and legal compliance as described in our Privacy Policy
  • Billing and financial records are retained as required by applicable tax and financial regulations
  • Audit logs are retained for security and compliance purposes

You may also request deletion by contacting team@quickkeymobile.com, subject to identity verification and the same retention policies described above.

16. Intellectual Property

The QuickKey platform, including its software, design, logos, trademarks, text, graphics, and other content, is the property of QuickKey or its licensors and is protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the platform for its intended purpose, subject to these terms.

You retain ownership of any content you submit to the platform, including job descriptions, photos, documents, and messages. By submitting content, you grant QuickKey a non-exclusive, worldwide, royalty-free license to use, store, display, and process your content solely for the purpose of operating and improving the platform.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, QUICKKEY, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR ACCESS TO OR USE OF (OR INABILITY TO ACCESS OR USE) THE PLATFORM.

WITHOUT LIMITING THE FOREGOING, QUICKKEY'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO QUICKKEY IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

QuickKey is not responsible for the actions, omissions, conduct, or quality of work of any locksmith or customer on the platform. QuickKey is not liable for any property damage, personal injury, or other harm arising from locksmith services arranged through the platform.

18. Indemnification

You agree to indemnify, defend, and hold harmless QuickKey, its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, demands, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • Your use of or access to the platform
  • Your violation of these Terms of Service
  • Your violation of any applicable law or regulation
  • Your violation of any third-party rights, including intellectual property or privacy rights
  • Any content you submit through the platform
  • Any dispute between you and another user of the platform
  • For locksmith users: any locksmith services you perform or fail to perform

19. Dispute Resolution and Arbitration

You agree that any dispute, claim, or controversy arising out of or relating to these Terms of Service or the use of the QuickKey platform shall first be attempted to be resolved through good-faith informal negotiation. You must contact QuickKey at team@quickkeymobile.com with a written description of your claim before initiating any formal proceedings. The parties shall attempt to resolve the dispute within thirty (30) days of receipt of the written notice.

If informal resolution is unsuccessful, any remaining dispute shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules (or Commercial Arbitration Rules for business disputes). The arbitration shall be conducted in English and take place in the State of Delaware, or at a mutually agreed location. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

YOU AGREE THAT ANY ARBITRATION OR PROCEEDING SHALL BE LIMITED TO THE DISPUTE BETWEEN YOU AND QUICKKEY INDIVIDUALLY. YOU WAIVE THE RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. You may opt out of this arbitration agreement by sending written notice to team@quickkeymobile.com within thirty (30) days of first accepting these terms.

20. Governing Law and Venue

These Terms of Service shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. For any claims not subject to arbitration, you consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Delaware.

21. Disclaimers

THE QUICKKEY PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. QUICKKEY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

QuickKey does not warrant that the platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components. QuickKey does not warrant the accuracy, completeness, or reliability of any content on the platform, including locksmith profiles, reviews, or user-submitted information.

22. Modifications to the Platform

QuickKey reserves the right to modify, suspend, or discontinue any part of the platform at any time, with or without notice. QuickKey shall not be liable to you or any third party for any modification, suspension, or discontinuation of the platform or any feature thereof.

23. Severability

If any provision of these Terms of Service is found to be invalid, unenforceable, or illegal by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

24. Entire Agreement

These Terms of Service, together with the Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and QuickKey regarding your use of the platform and supersede all prior and contemporaneous agreements, proposals, and representations, whether written or oral.
